Terms and Conditions of Use — Noox
Version: 1.6 · 2026-09-26 · Last updated: 2026-09-26
Welcome to Noox ("the Application", "the App", "the Software"). These Terms and Conditions ("Terms") constitute an agreement between you, the user of the Application ("User", "you"), and David do Rosário Taveira, the individual author of Noox ("we", "the Author").
Please read these Terms carefully before installing or using Noox. By installing, accessing or using the Application, you declare that you have read, understood and agree to be bound by these Terms. If you do not agree, do not install or use the Application.
This English text is a translation of the Portuguese original, provided so that you can read the agreement in a language you understand. The Portuguese version is the original wording; this does not affect any mandatory rights you have as a consumer, nor your right to rely on the language version in which these Terms were presented to you.
1. Status of the Application — BETA / pre-release version
Noox is under active development and may be made available in beta, pre-release or early access versions. This means that:
- The Application may contain errors, faults or unexpected behaviour and is not guaranteed to operate uninterrupted or free of defects.
- Features may be changed, added or removed over the course of development. When a feature is removed, the Author will note it in the release notes.
- The Application is provided "as is" and "as available", under sections 9 and 10.
- Less-tested areas. Not everything has been exercised to the same degree. As of this version:
- exporting and importing Classes and Layouts is the feature with the least real-world testing — check the result before relying on it, especially before deleting the original;
- copy, cut, paste, delete and undo have been tested carefully, but the number of possible combinations is large: what you are copying (a real file, a shortcut, an Element or a link), where from, where to, and whether the card and the virtual space travel with it. The common paths are stable; rare combinations may have rough edges. Remember that deleting a real item sends it to the Windows Recycle Bin, so it is recoverable (see section 4).
By using a beta version, you acknowledge the experimental nature of the Application and agree to take reasonable precautions, including keeping independent backups of your important files (see section 4).
2. Licence to use
Subject to the applicable one-time payment (see section 3), the Author grants you a personal, non-exclusive, non-transferable and revocable licence to install and use the Application for personal or professional purposes, on the terms of this agreement.
Versions covered. The licence relates to version 1.x of the Application: the version you purchased and all updates and fixes in that same line, at no additional cost and with no time limit. Subsequent major versions (2.0 and later), should they come to exist, may be subject to a separate licence — the Author is under no obligation to release them. This does not affect your right to have the version you purchased brought into conformity, including security fixes, under section 9 and the applicable legal guarantee.
2.1. Activation required. The Application does not work without an activated licence. On first launch you are asked for the licence key you receive when you buy — sent by email, shown on the purchase confirmation page, and always available in the Paddle customer portal. An internet connection is required to activate. There is no free trial period.
2.2. Up to two devices. The same licence may be active on up to two devices at the same time. You may deactivate a device at any time to free its seat for another one.
2.3. Periodic verification. The Application confirms the licence with the Author's licence server at every start-up and, while the Application is open, every seven days, always in the background. If there is no internet connection, nothing happens: the Application keeps working normally and tries again later. After 30 days without a successful check a discreet notice is shown, which does not prevent use of the Application or access to your files. The data sent during this check is described in the Privacy Policy.
You are not permitted to:
- (a) resell, rent, sublicense or distribute the Application to third parties;
- (b) reverse engineer, decompile or disassemble the Software, except to the extent expressly permitted by mandatory law (notably for interoperability purposes);
- (c) remove or alter authorship notices, trademarks or proprietary notices;
- (d) use the Application for unlawful purposes or in breach of third-party rights.
All rights not expressly granted are reserved to the Author.
3. Purchase, payment and refunds
Noox is sold for a one-time payment (not a subscription). Sales are processed through Paddle, acting as Merchant of Record. This means that:
- Paddle is the entity responsible for the transaction, invoicing, collection of applicable taxes (including VAT) and processing of payment data. The Author does not collect and has no access to your card or payment method details.
- Refund requests and billing matters are governed by Paddle's policy and terms in force at the time of purchase, without prejudice to your statutory rights as a consumer under Portuguese and European Union law.
- Nothing in these Terms sets aside or limits your mandatory consumer rights, including, where applicable, the right of withdrawal for distance contracts.
4. Your files and data — key points
Noox works directly on the real files and folders of your computer. This is a core characteristic of the Application and entails the following:
4.1. The operations you instruct are real. Creating, renaming, copying, moving, cutting or deleting files and folders from Noox produces real effects on your file system, just as Windows Explorer would. You perform these actions on your own initiative and under your own responsibility.
4.2. Built-in safeguards. The Application was designed to minimise accidental losses, in particular:
- files deleted through Noox are, where applicable, sent to the Windows Recycle Bin (recoverable), rather than permanently erased;
- Noox does not alter the content of your files beyond the operations you explicitly instruct;
- there are backup mechanisms against data corruption and version history for Noox's own organisation data.
These safeguards are provided as a best-effort measure, without any guarantee of result, and do not replace your own backups.
4.3. Noox is not a backup service. The Application stores your data locally and does not replicate it to any cloud. Responsibility for keeping backups of your files is exclusively yours. We strongly recommend that you keep independent, up-to-date backups, particularly as this is a beta version.
4.4. External changes. If you move, rename or delete files outside Noox (for example, via Explorer), the Application may no longer find them. Noox offers recovery and re-indexing mechanisms, but does not guarantee reconciliation of all changes made by other applications.
5. Content imported, exported and shared between users
Noox allows you to export spaces, elements and cards to a file, and to import equivalent files created by you or by third parties. On this:
5.1. Third-party files are unverified content. A Noox export file (or any other file) received from third parties is user-generated content, over which the Author has no control and no responsibility. The Author does not verify, approve or guarantee the safety, integrity or lawfulness of any content you import.
5.2. Import only from sources you trust. By importing or opening files of unknown or untrusted origin, you assume the inherent risks, including the possibility that the file contains malicious or misleading data. We recommend that you only import content from trusted sources and that you keep security software up to date on your system.
5.3. Sender's responsibility. You are solely responsible for the content you export and share with third parties, including for ensuring that you have the right to share it and that it does not infringe third-party rights or applicable law.
5.4. Browsing and external content. Noox integrates an embedded browser (WebView2) that lets you open websites and URLs. The content of those sites belongs to third parties; the Author does not control it and is not answerable for it. Your use of external sites is governed by the terms and policies of those sites.
6. Acceptable use
You undertake to use Noox in compliance with the law and not to use it to:
- (a) store, process or distribute unlawful content or content infringing third-party rights;
- (b) attempt to circumvent the Application's licensing or security mechanisms;
- (c) interfere with the normal operation of the Software or of third-party systems.
7. Privacy and personal data
Noox was designed on a 100% local principle:
7.1. No account, no cloud. The Application does not require registration or account creation and does not send your files, the way you organise them, your cards or your usage data to any server. Everything stays on your computer.
7.2. Data stored locally.
- Noox's organisation data (positions, notes, drawings, cards, spaces) is stored in files on your own disk.
- The embedded browser (WebView2) may store, locally, cookies, sessions and browsing data from the sites you open, exactly like a normal browser — that data stays on your computer, under your control.
- The screen recording feature (NooxRec) produces video files that are stored locally at your command; the Author has no access to them.
- The Application may generate local log files for diagnostics, which remain on your computer and are not sent automatically to the Author.
7.3. Purchase. The data required for the purchase is processed by Paddle as Merchant of Record (see section 3), in accordance with Paddle's privacy policy. The Author does not collect your payment data.
7.4. Waiting list and newsletter (optional). If — and only if — you voluntarily sign up, your email address will be processed to send you a notice when the beta opens and/or the Noox newsletter (news, fixed issues, offers), as you choose, on the basis of your consent and after you confirm your sign-up by email. You may unsubscribe at any time through the link included in every message. Details are in section 5 of the Privacy Policy.
7.5. Your rights. As a data subject, you have the rights provided for in the GDPR (access, rectification, erasure, objection, among others), exercisable through the contact in section 15.
8. Intellectual property
Noox's code, design, interface and documentation are the property of the Author and are protected by copyright and other applicable legislation. These Terms do not transfer to you any ownership right over the Software, only the licence of use described in section 2.
The "NOOX" name and the application's symbol are distinctive signs claimed by the Author as trade marks. You may not use them to identify your own products or services, or in any way that suggests association with, sponsorship by or common origin with the Author. This does not prevent fair, descriptive reference to Noox — talking about it, writing about it, or stating that a file of yours was created with it.
Your files and content are yours. The Author claims no rights over the files, texts, images or any content you create, organise or manage through Noox.
The Application incorporates third-party software components (notably the Tauri runtime, Microsoft Edge WebView2 and other open-source libraries), subject to their respective licences. Nothing in these Terms limits your rights under those licences.
9. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Application is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Application will operate uninterrupted, securely or error-free.
In particular, and given its beta status, the Author does not warrant that the Application will be free of defects nor that defects will be corrected.
Consumer rights. This section does not set aside the mandatory legal guarantees available to you as a consumer under Portuguese and European Union law (notably Decree-Law no. 84/2021), which prevail over any provision to the contrary in these Terms.
10. Limitation of liability
To the maximum extent permitted by applicable law:
10.1. The Author shall not be liable for any indirect, incidental, special, consequential or punitive damages, nor for loss of data, loss of files, loss of profits, business interruption or loss of opportunity, arising out of or in connection with the use or inability to use the Application.
10.2. Without prejudice to section 4, the Author shall not be liable for damages resulting from:
- (a) file operations instructed by you (create, move, rename, delete, etc.);
- (b) content imported, opened or shared by you or by third parties (section 5);
- (c) your failure to keep independent backups;
- (d) changes made by other applications or by you outside Noox;
- (e) failures of hardware, operating system or third-party software unrelated to the Application.
10.3. Overall cap. To the extent that any liability of the Author cannot be excluded, it is limited to the amount you actually paid for the Application.
10.4. Mandatory limits — what is NOT excluded. Nothing in these Terms excludes or limits the Author's liability which, by mandatory law, cannot be excluded or limited, including in particular liability for wilful misconduct or gross negligence, for death or personal injury, or the mandatory rights available to you as a consumer. These exceptions prevail over any provision to the contrary.
11. Indemnity
You agree to hold the Author harmless in respect of third-party claims arising from your unlawful use of the Application, your breach of these Terms, or content you share through the Application in breach of third-party rights or of the law. This obligation does not apply to the extent that the claim results from the Author's wilful misconduct or gross negligence.
12. Updates and changes
12.1. Application updates. The Author may make available updates, fixes or new versions, but is under no obligation to do so with any particular frequency. Updates and fixes to version 1.x are included in the licence you purchased (section 2). Any future major version (2.0 or later) may be made available subject to a new purchase, on the terms announced at that time. Regardless of this, you remain entitled to security and conformity fixes to the version you purchased under the legal guarantee of conformity.
12.1.1. How updates arrive. The Application automatically checks every three hours, while it is open, whether a new version exists, and downloads it in the background. Installation always depends on an action by you: the Application does not update or restart itself. What is downloaded is verified against the Author's digital signature and refused if the signature does not match. What this process does and does not communicate is described in the Privacy Policy.
12.2. Changes to these Terms. The Author may revise these Terms. The version in force will be the one published at https://nooxspace.com, with its date. Material changes will be notified to you in a reasonable manner. Continued use after the changes take effect counts as acceptance of them; if you do not agree, you must stop using the Application.
13. Term and termination
These Terms apply for as long as you use the Application. The Author may terminate the licence in the event of a serious breach of these Terms by you. You may terminate at any time by uninstalling the Application. Your files remain on your computer after uninstallation — Noox neither moves nor deletes them when it is removed. Provisions which by their nature should survive (intellectual property, exclusions and limitations of liability, governing law) remain in force after termination.
14. Governing law and jurisdiction
These Terms are governed by Portuguese law. The courts of the judicial district (comarca) of Porto, Portugal shall have jurisdiction over any dispute, without prejudice to the mandatory rules of jurisdiction protecting consumers, who retain the right to bring proceedings before the courts of their domicile.
Alternative dispute resolution (consumers). As required by law, you are informed that, in the event of a consumer dispute, you may resort to an alternative consumer dispute resolution (ADR) body. Further information at https://www.consumidor.gov.pt.

16. Final provisions
If any clause of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force. Any failure or delay in enforcing a breach shall not constitute a waiver of rights. These Terms constitute the entire agreement between you and the Author regarding use of the Application, without prejudice to Paddle's terms applicable to the purchase.
By using Noox, you confirm that you have read and accept these Terms and Conditions.
